Lugoffice Terms of Service

1. Acceptance

By downloading, installing, or using Lugoffice, you agree to these Terms. If you do not agree, do not use Lugoffice. Lugoffice is provided by LUGJI LIMITED ("we", "us").

2. The service

Lugoffice is an opt-in cloud AI document tool: when you initiate it per document, it sends the transcript text you select to enterprise Google Vertex AI (Gemini) to generate written-language documents, writing the result back to your own vault. See our Privacy Policy for how data is handled.

3. Your content and licence

• You own the content you put into Lugoffice and the outputs it generates.
• You grant us only a limited licence, purely to perform the technical processing: to relay the text you select through our proxy to Google Vertex AI to fulfil the generation you request, and return the result to you. We do not retain it, train on it, or use it for any other purpose.
• You are responsible for the content you send: you must have the right to process it, and must not send unlawful, infringing, or unauthorised third-party personal data.

4. ⚠️ AI-generated content — accuracy disclaimer (important, please read)

• Lugoffice's output is generated by AI models and may be wrong, including but not limited to fabricating or mistaking names, titles, numbers, dates, decisions, and facts — especially when the input transcript contains speech-recognition errors or noise.
• Output is for reference/assistance only, is not legal, medical, financial, accounting, or any professional advice, and is no substitute for your own judgement and verification.
• You must review any output before relying on or distributing it. To the maximum extent permitted by law, we are not liable for consequences arising from reliance on AI output.
• Regulated-industry users (legal / medical / finance, etc.) take note: a fabricated name or figure in a record can create liability — verification is your responsibility.

5. Acceptable use

You agree not to: (a) send unlawful, infringing, hateful, or unauthorised third-party personal/confidential data; (b) attempt to bypass, reverse-engineer, attack, or abuse our service or proxy (including excessive requests); (c) use the service for any purpose violating applicable law; (d) use Lugoffice in violation of applicable export control or sanctions laws. We may apply reasonable rate limits or suspend service for abuse.

6. Fees, subscriptions & plans

• Lugoffice is free ($0) at launch. We may introduce paid plans in future (advanced/high-volume use); final plans, prices, and allowances will be clearly stated in-app and at lugoffice.app, with notice before they take effect.
• Subscriptions purchased via the Apple App Store are subject to Apple's terms (auto-renewal, billing through your Apple Account, manage/cancel in Apple Settings); refunds are generally handled by Apple.
• Enterprise / self-hosted (on-prem) deployments are governed by a separate agreement.

7. Third-party services

Lugoffice relies on Google Cloud / Vertex AI. Your use of Lugoffice's cloud processing is also subject to Google's applicable terms. We make no warranty as to third-party service availability or performance. Third-party providers may update, suspend, or discontinue their services from time to time, which may affect certain Lugoffice features.

8. Intellectual property

Intellectual property in the Lugoffice app, brand, templates, and underlying software belongs to LUGJI LIMITED. These Terms transfer none of our IP to you (other than your content and outputs, per §3).

9. Disclaimer (as-is)

To the maximum extent permitted by law, Lugoffice is provided "as is" and "as available", without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, accuracy, uninterrupted or error-free operation).

10. Limitation of liability

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Otherwise, and to the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages, or loss of profits/data/goodwill; and our total liability for any claim is capped at the amount you actually paid for Lugoffice in the twelve (12) months before the event (or HK$100 if you have never paid). Where a jurisdiction disallows certain exclusions, those limits apply to the maximum extent permitted there.

11. Termination

You may stop using Lugoffice and delete the app at any time. We may suspend or terminate your use if you breach these Terms. §3 (content ownership), §4, §9, §10, and any clause that by nature should survive, continue after termination.

12. Changes to these Terms

We may update these Terms from time to time and revise the effective date. Material changes will be given reasonable notice (in-app or at lugoffice.app). Continued use after changes means acceptance.

13. Governing law & disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and are subject to the exclusive jurisdiction of the Hong Kong courts.
